Refund Policy

At LumisphereSystems, located at Frederiksborgvej 12, 2400 København NV, Denmark, we are committed to delivering high-quality web development services. This Refund Policy outlines the conditions under which refunds may be issued.
1. Project Milestones
Our services are delivered in phases aligned with predefined project milestones. Each milestone triggers a corresponding payment. Refunds are evaluated based on the completion status of each milestone at the time of the refund request.
2. Eligibility for Refund
A refund may be issued in the following circumstances:
- The project has not been initiated, and no work has commenced.
- A milestone has been paid but the corresponding deliverable has not been provided within the agreed timeframe, and no extension has been mutually agreed upon.
- The delivered work materially deviates from the agreed specifications and cannot be remedied within a reasonable timeframe.
3. Non-Refundable Items
The following are non-refundable:
- Fees for work that has been completed and accepted by the client.
- Fees for third-party services, licenses, or subscriptions procured on behalf of the client.
- Consultation fees for time already rendered.
4. Refund Process
To request a refund, contact us at [email protected] with your project details and the reason for the refund request. We will review your request within 14 business days and communicate our decision. Approved refunds will be processed within 30 days using the original payment method.
5. Dispute Resolution
In the event of a dispute regarding refunds, both parties agree to first attempt resolution through good-faith negotiation. If no resolution is reached, the dispute shall be submitted to the competent courts in Copenhagen, Denmark.
Terms of Service

These Terms of Service ("Terms") govern your use of services provided by LumisphereSystems, registered at Frederiksborgvej 12, 2400 København NV, Denmark. By engaging our services, you agree to be bound by these Terms.
1. Scope of Services
LumisphereSystems provides web development, infrastructure, security, and consultation services as described in our service offerings. The specific scope, deliverables, timeline, and pricing for each project are defined in a separate Statement of Work ("SOW") or project agreement.
2. Project Execution
Upon agreement of the SOW, LumisphereSystems will execute the project in accordance with the specifications, milestones, and timelines defined therein. Any changes to the scope, timeline, or deliverables must be agreed upon in writing by both parties via a formal change order.
3. Payment Terms
Payments are due according to the milestone schedule defined in the SOW. Invoices are payable within 14 days of issuance unless otherwise specified. Late payments may incur a penalty of 1.5% per month on the outstanding balance. Work may be suspended if payments are overdue by more than 30 days.
4. Intellectual Property
Upon full payment of all invoices, LumisphereSystems grants the client full ownership of all custom-developed code, designs, and deliverables specifically created for the project. LumisphereSystems retains ownership of any pre-existing tools, libraries, frameworks, or general-purpose code used in the project, and grants the client a perpetual, irrevocable, non-exclusive license to use such components.
5. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the project. This obligation survives the termination of the engagement for a period of three (3) years.
6. Limitation of Liability
To the maximum extent permitted by applicable law, LumisphereSystems' total aggregate liability arising out of or related to the services shall not exceed the total fees paid by the client under the applicable SOW during the twelve (12) months preceding the claim. In no event shall LumisphereSystems be liable for any indirect, incidental, special, consequential, or punitive damages.
7. Warranty
LumisphereSystems warrants that all services will be performed in a professional and workmanlike manner, consistent with generally accepted industry standards. A 30-day warranty period applies to each delivered milestone, during which LumisphereSystems will remedy any defects in the deliverables at no additional cost.
8. Termination
Either party may terminate a project with 30 days' written notice. In the event of termination, the client shall pay for all work completed and expenses incurred up to the date of termination. Non-refundable third-party costs incurred on behalf of the client are also payable.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of Denmark. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark.
10. Data Protection
Both parties agree to comply with all applicable data protection laws, including the GDPR. A separate Data Processing Agreement ("DPA") may be executed where required by law.
